Welcome to KlicForge. These Terms of Service ("Terms") govern your access to and use of our website and services.
Acceptance of Terms
By accessing or using KlicForge ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you disagree with any part of these terms, you may not access the Service.
We reserve the right to update these Terms at any time. We will notify you of any changes by posting the updated Terms on this page. Your continued use of the Service after the effective date of such changes constitutes acceptance of such changes.
Use License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to reproduce, distribute, or commercially exploit the Service.
You agree not to use the Service for any illegal activities or to violate any applicable laws, regulations, or third-party rights.
Account Security
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.
You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Data and Content
You retain ownership of all data and content that you upload, submit, or transmit to the Service ("Your Data"). We do not claim any ownership rights in Your Data.
You grant us a limited license to use, store, and process Your Data only to provide the Service to you and as permitted by these Terms and our Privacy Policy. You are solely responsible for the accuracy, quality, and legality of Your Data.
Prohibited Uses
You may not use the Service to:
- Violate any applicable law or regulation
- Infringe any intellectual property or other proprietary rights
- Upload viruses, malware, or other harmful software
- Spam, defraud, or engage in phishing activities
- Mine cryptocurrency or engage in other compute-intensive activities without our permission
- Reverse engineer, decompile, or attempt to derive the source code of the Service
- Circumvent usage controls or resource safeguards
- Use KlicForge to power a competing AI service without authorization
- Self-refer your own tenant, use straw accounts, or otherwise manipulate the affiliate program for personal gain
- Engage in cookie stuffing, iframe injection, forced clicks, or any other artificial attribution technique
- Bid on KlicForge trademark keywords in paid search, impersonate KlicForge staff, or make false claims about the product or earnings potential
Fair Use & Service Limits
KlicForge plans are designed for normal business usage patterns. We apply internal safeguards to keep the platform reliable and fair for all customers, as described in our Fair Use Policy.
Usage Controls & Resource Safeguards: KlicForge may apply reasonable usage controls, rate limits, resource safeguards, or temporary restrictions to protect platform stability, prevent abuse, and maintain service quality for all customers. Most customers will never encounter these safeguards during normal use. If sustained usage significantly exceeds typical usage for the subscribed plan, KlicForge may contact you to discuss a more suitable plan, usage adjustment, or enterprise arrangement.
Upstream Provider Limits: KlicForge relies on third-party AI providers (OpenAI, Anthropic, Cloudflare, OpenRouter) that enforce their own limits. We are not liable for provider outages or limits beyond our control.
Suspension for Abuse
We reserve the right to suspend or restrict your account if we detect abuse, including but not limited to:
- Deliberate circumvention of fair use limits or rate limits
- Resource exhaustion attacks or denial-of-service attempts
- Unauthorized reselling or service arbitrage
- Malicious use (spam, scraping, phishing, unauthorized data access)
For suspected abuse, we will typically issue a warning and request explanation before suspension. Suspended accounts may appeal via [email protected]. Immediate suspension without warning may apply if abuse is active and causing service degradation for other users.
Affiliate Program
KlicForge operates an affiliate program that allows eligible users to earn commission for referring new paying tenants. Participation is governed by these Terms and by the commission schedule published on our Affiliate Program page.
Eligibility: You must be at least 18 years old, the owner of an active KlicForge tenant in good standing, and legally permitted to receive commission income in your jurisdiction. KlicForge employees, contractors, and their immediate family members are not eligible. KlicForge may refuse, suspend, or revoke participation at its sole discretion.
Attribution & cookie window:When a visitor reaches our site through your unique referral link, we set a first-party attribution cookie ("kf_ref") that lasts up to 60 days. If the visitor signs up and starts a paid plan within that window, the referral is locked to your account. Where multiple referral codes apply within the window, the most recent valid code wins (last-touch attribution). See our Privacy Policy for cookie details.
EU, UK & Switzerland attribution caveat:To comply with the EU ePrivacy Directive, UK PECR, and Swiss revFADP, we only set the "kf_ref" cookie for visitors located in the EU, EEA, UK, or Switzerland after they affirmatively accept a consent banner. Visitors in these regions who decline, dismiss, or ignore the banner will not have a referral cookie written and will not be attributed to you, even if they later sign up and become paying tenants. Commissions are not payable for unattributed conversions. By participating in the affiliate program, you acknowledge that this consent requirement may reduce attribution rates for traffic you direct from these regions and that KlicForge is not liable for resulting commission loss.
Commission accrual:Commissions are calculated on the net invoice amount (gross minus payment processing fees), not the gross amount. Recurring commissions accrue for 12 months from the referred tenant's first paid invoice; this window is anchored once and is not extended by plan changes, cancellation, or resubscription. The commission rate is snapshotted on each invoice at the time of accrual — subsequent schedule changes do not re-rate past payouts.
No self-referral: You may not refer your own tenant, any tenant you own or control, or any account where the billing party is materially the same person or entity as you. KlicForge enforces this at both the tenant and user level. Attempts to circumvent this restriction will result in forfeiture of all related commissions and may result in termination.
Refunds & clawback: If a paid invoice is refunded, charged back, or otherwise reversed, the matching commission is reversed automatically. Where the reversal occurs after payout, the amount may be deducted from future payouts or invoiced to you directly.
Custom referral codes: You may change your default referral code to a custom code once. Previous codes are archived and remain attributable for in-flight visitors but cannot be reissued or reused.
Payouts: Payouts are currently processed manually on request. We may, from time to time, set a minimum payout threshold, a payout currency, and reasonable processing timelines. You are responsible for providing accurate payee details and any tax forms (e.g., W-9, W-8BEN, or equivalent) we may require before releasing payment. KlicForge may withhold payouts pending verification or to investigate suspected abuse.
Taxes: You are solely responsible for all taxes, levies, and reporting obligations arising from commissions you receive. KlicForge may issue tax documents (e.g., Form 1099 in the United States) where required by law.
Independent relationship: Your participation in the affiliate program does not create an employment, partnership, joint venture, franchise, or agency relationship between you and KlicForge. You may not bind KlicForge or represent yourself as an authorized agent.
Disclosure & promotion: You must clearly disclose your affiliate relationship wherever required by applicable law (for example, the U.S. FTC Endorsement Guides). You must not engage in spam, unsolicited bulk email, deceptive marketing, false earnings claims, or any promotion that misrepresents KlicForge, its pricing, or its features.
Suspension & termination: KlicForge may suspend or terminate your participation, withhold pending commissions, and claw back paid commissions if we reasonably determine that you have violated these Terms, the affiliate program rules, or applicable law. Either party may terminate your participation at any time on notice; approved-but-unpaid commissions accrued in good faith will be paid in the next regular payout cycle.
Program changes: KlicForge may modify the commission schedule, eligibility window, payout terms, or any other aspect of the program at any time. Material changes will be announced via the Affiliate Program page or by email. Already-accrued commissions are not affected by subsequent changes.
Third-Party Services
The Service may include links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.
You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such services.
Limitation of Liability
To the maximum extent permitted by law, in no event shall we, our directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us during the 12 months preceding the event giving rise to the claim.
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
