Founding Early Adopter Agreement

1. Agreement Overview & Parties

This Founding Early Adopter Agreement ("Agreement") is between Klicco Pte. Ltd. ("Klicco", "KlicForge", "we", "us", or "our") and you, the individual or entity subscribing to KlicForge ("Early Adopter", "you", or "your") during the Founding Early Adopter Program period.

By accepting this Agreement — whether through the KlicForge dashboard, a checkout flow, or any other in-product mechanism — you confirm that you have read, understood, and agree to be bound by these terms in addition to the KlicForge Terms of Service and Privacy Policy. In the event of a conflict between this Agreement and the Terms of Service, this Agreement controls with respect to the subject matter herein.

2. Public Beta Acknowledgment

You acknowledge that KlicForge is currently in public beta. This means:

• The platform may contain bugs, errors, or incomplete features that affect functionality.
• We may introduce breaking changes to APIs, features, or configuration formats without advance notice during the beta period.
• Periods of instability, downtime, or degraded performance may occur more frequently than in a generally available release.
• No uptime SLA or service level commitment applies during the public beta period.

KlicForge will make commercially reasonable efforts to maintain service continuity and communicate material changes, but makes no warranty — express or implied — with respect to beta service availability or reliability.

3. Early Adopter Participation & Feedback

As a founding early adopter, you agree to:

• Use KlicForge actively and in good faith for legitimate business purposes.
• Report bugs, unexpected behavior, and product feedback through the channels KlicForge provides (e.g., in-product issue tracker, designated feedback channel).
• Engage with KlicForge product team surveys or calls when reasonably requested (participation in any specific request remains voluntary and at your discretion).

By reporting feedback or bugs, you grant KlicForge a non-exclusive, perpetual, irrevocable, royalty-free licence to use your feedback to improve our products and services. You retain ownership of any data or content you submit through the platform.

4. Founding Early Adopter Discount — Conditions & Eligibility

Subject to the conditions in this Agreement, KlicForge will apply a 50% discount to your paid subscription charges ("Founding Discount"). The Founding Discount:

• Applies to your qualifying subscription plan at the discounted founding price listed at checkout.
• Remains active for the lifetime of your qualifying, active, and uninterrupted subscription — meaning it continues as long as your subscription remains active and in good standing without lapse, cancellation, or termination.
• Does not apply to usage-based overage charges, add-ons, or enterprise custom pricing.
• Is tied to the tenant account that accepted this Agreement. It is non-transferable and cannot be applied to a different account or organisation.
• Is granted in KlicForge's sole discretion and may not be combined with other promotional discounts unless KlicForge explicitly states otherwise.

The Founding Discount is baked into the founding plan price shown at checkout — it is not applied as a Stripe coupon. The price you see is the price you pay.

5. Loss of Discount Eligibility

Your Founding Discount will be permanently revoked — without refund of prior charges — upon any of the following events:

• Subscription cancellation: You cancel your qualifying subscription, regardless of whether you later re-subscribe.
• Subscription lapse or expiry: Your subscription lapses due to non-payment, payment failure beyond any applicable grace period, or any other reason that causes it to enter an expired or inactive state.
• Payment dispute / chargeback: You initiate a chargeback or dispute any charge related to your KlicForge subscription.
• Material breach of this Agreement or the Terms of Service: KlicForge determines, in its reasonable discretion, that you have breached a material obligation under this Agreement or the Terms of Service (including but not limited to the confidentiality obligations in Section 6).

Upon revocation, any subsequent renewal or new subscription will be charged at standard prevailing rates. Re-subscription after revocation does not restore the Founding Discount.

6. Confidentiality & No Public Disclosure

As a condition of the Founding Discount, you agree to maintain confidentiality regarding your use of KlicForge during the public beta period. Specifically, you agree not to:

• Publish public reviews, case studies, blog posts, social media posts, or press releases that disclose your use of KlicForge.
• Discuss pricing, founding discount terms, or your subscription details in any public forum.
• Provide quotes, testimonials, or references for KlicForge to third parties for public use without KlicForge's prior written consent.

These confidentiality obligations do not prohibit:

• Internal use and discussion of KlicForge within your organisation.
• Disclosures required by law or regulatory order, provided you give KlicForge reasonable prior written notice where permitted.
• Disclosures KlicForge explicitly authorises in writing.

The confidentiality obligations in this section expire when KlicForge makes a public general availability announcement, or earlier at KlicForge's written discretion. Upon expiry, you remain free to disclose your use of KlicForge publicly.

7. Beta Limitations & No SLA

During the public beta period, KlicForge provides the service "as is" and "as available" without warranties of any kind. KlicForge expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. No service level agreement, uptime guarantee, or support response-time commitment is provided during beta.

KlicForge's liability to you under this Agreement shall not exceed the total subscription fees you have paid to KlicForge in the three (3) months immediately preceding the event giving rise to the claim. In no event shall KlicForge be liable for indirect, incidental, special, consequential, or punitive damages.

8. Data & Privacy

Your use of KlicForge is subject to our Privacy Policy and, where applicable, our Data Processing Addendum. KlicForge processes personal data in accordance with applicable data protection laws. No additional data obligations are created by this Agreement beyond those in the Privacy Policy and Terms of Service.

9. Fair Use

Your use of KlicForge remains subject to the Fair Use Policy. The Founding Discount does not exempt you from fair use limits. Abusive or excessively high usage patterns may result in throttling, suspension, or termination of your account in accordance with the Fair Use Policy and Terms of Service.

10. Termination & Revocation Rights

KlicForge reserves the right to terminate or modify the Founding Early Adopter Program at any time, provided that any such termination will not retroactively revoke the Founding Discount from existing eligible participants whose subscriptions remain active and in good standing — except in cases of material breach, payment dispute, or other events listed in Section 5.

KlicForge may terminate or suspend your access to the platform at any time for material breach of this Agreement, the Terms of Service, or applicable law. Upon termination, you must immediately cease using the platform. Sections 5, 6, 7, and 11 of this Agreement survive termination.

11. Agreement Version, Effective Date & Governing Law

Agreement version: 2026-07-01

Effective date: 1 July 2026

This Agreement is governed by the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Singapore. KlicForge will update the agreement version string when material changes are made; continued use of the Founding Discount constitutes acceptance of the then-current version.
